Terms of Service

Please read these Terms of Service carefully before using FleetOn.Cloud. By registering for or using our services, you agree to be legally bound by these terms. If you are entering into this agreement on behalf of a company, you confirm you have authority to bind that company.
1. Agreement to Terms
By accessing or using FleetOn.Cloud's services, you agree to be bound by these Terms of Service. FleetOn.Cloud ("FleetOn", "we", "us", or "our") provides comprehensive fleet management services for Uber vehicles, including driver recruitment, vehicle maintenance coordination, payment processing, and performance analytics.
If you do not agree to these terms, you may not access or use our services. These terms constitute a legally binding agreement between you and FleetOn.Cloud.
2. Service Description
FleetOn provides the following fleet management services designed to maximise your fleet's earning potential while minimising your operational involvement:
- ▸Vehicle registration and Uber platform onboarding
- ▸Driver recruitment, screening, and performance management
- ▸Maintenance scheduling and coordination with service providers
- ▸Insurance coordination and compliance management
- ▸Automated payment processing and weekly payouts
- ▸24/7 operational support and roadside assistance
- ▸Real-time performance analytics and reporting
Service availability may vary by location. We reserve the right to modify, add, or remove services with reasonable notice.
3. Fees and Payment Terms
Our management fees are calculated as a percentage of your fleet's weekly gross earnings from Uber:
Standard Fleet (UberX/UberGo): 8% of weekly gross earnings
Premium Fleet (Uber Black/Van): 6% of weekly gross earnings
Setup Fee: A one-time R1,500 setup fee applies per vehicle onboarded, covering inspection, registration, and initial setup costs.
No Earnings, No Fees: If your vehicle earns nothing in a given week, no management fee is charged for that week.
Payment Processing: Fees are automatically deducted before your weekly payout. No hidden charges or additional fees apply.
Enterprise Pricing: For fleets of 5 or more vehicles, custom pricing arrangements may be negotiated. Contact us at info@fleeton.cloud.
4. Client Responsibilities
As a FleetOn client, you are responsible for:
- ▸Providing accurate and up-to-date information about your vehicles and business
- ▸Maintaining valid vehicle documentation, roadworthiness certificates, and registration
- ▸Ensuring your vehicles meet Uber's requirements and standards
- ▸Reporting accidents, incidents, or damage to your vehicles promptly
- ▸Keeping your contact information and banking details current in our system
- ▸Complying with all applicable South African laws and regulations
- ▸Maintaining vehicle ownership and associated legal obligations
5. Service Limitations & Disclaimers
While FleetOn strives to maximise your fleet's performance, we cannot guarantee specific earnings or results. The following limitations apply:
Earnings: Actual earnings depend on Uber demand, driver performance, vehicle availability, and market conditions. We make no guarantees of minimum earnings.
Uber Platform: FleetOn operates as a management layer on top of the Uber platform. We are not responsible for Uber's decisions, policy changes, account suspensions, or rating adjustments.
Driver Conduct: While we screen and manage drivers carefully, we cannot guarantee driver behaviour. Vehicle damage or incidents caused by drivers are subject to insurance processes.
Third-Party Services: We coordinate with maintenance providers, insurers, and other third parties. We are not liable for delays or failures by these parties.
Force Majeure: We are not liable for service disruptions caused by circumstances beyond our control, including natural disasters, civil unrest, or government actions.
6. Termination
Either party may terminate this agreement with 30 days written notice. Notice must be sent to legal@fleeton.cloud or your assigned account manager.
No Penalties: No termination penalties or exit fees apply. You will receive your final payout for earnings up to the termination date.
Immediate Termination: FleetOn reserves the right to terminate services immediately if you breach these terms, provide false information, or engage in fraudulent activity.
Post-Termination: Upon termination, we will assist with transitioning your fleet management. Driver agreements and vehicle registrations will be handled according to applicable law.
7. Limitation of Liability
To the maximum extent permitted by South African law, FleetOn's total liability to you for any claim arising from these terms or our services shall not exceed the management fees paid by you in the preceding 12 months.
FleetOn is not liable for:
- ▸Loss of profits, revenue, or expected earnings
- ▸Vehicle damage caused by drivers or third parties
- ▸Uber account suspensions or platform changes
- ▸Losses arising from driver incidents or accidents
- ▸Indirect, consequential, or punitive damages
Nothing in these terms limits liability for fraud, personal injury, or any liability that cannot be excluded by law.
8. Intellectual Property
All intellectual property in the FleetOn platform, including software, dashboards, reports, logos, and branding, is owned by FleetOn.Cloud. You are granted a limited, non-exclusive licence to use our platform solely for your fleet management purposes.
You may not reproduce, redistribute, reverse-engineer, or create derivative works based on our platform or content without our prior written consent.
9. Privacy
Your use of our services is also governed by our Privacy Policy, which is incorporated into these terms by reference. Please review our Privacy Policy at fleeton.cloud/privacy to understand how we collect, use, and protect your information.
10. Dispute Resolution
In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If negotiation fails within 30 days, disputes shall be resolved through binding arbitration.
Arbitration will be conducted under the Arbitration Foundation of Southern Africa (AFSA) rules. The arbitration will take place in South Africa. The arbitrator's decision shall be final and binding.
Nothing in this clause prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.
11. Governing Law
These Terms of Service are governed by the laws of the Republic of South Africa. Any legal proceedings that cannot be resolved through arbitration shall be subject to the exclusive jurisdiction of the South African courts.
12. Changes to Terms
We may update these Terms of Service from time to time. We will notify you of material changes at least 14 days before they take effect via email to your registered address. Continued use of our services after the effective date constitutes acceptance of the updated terms.
